Specifies decision rights, the boundary between running the institution and guarding it, the veto, escalation, the amendment record, and succession.

03.0 Purpose

To make authority legible. An institution intended to last must be able to answer, at any moment and in writing, who may decide a given question and who may stop it.

03.1 Scope and non-scope

In scope. DIV-06 Executive Office, DIV-07 Stewardship Office, the decision-rights matrix, veto scope and form, escalation, the amendment record, conflict-of-interest rules, and succession.

Not in scope. Division mandates (Chapter 02), role and permission mechanics (Chapter 08), the amendment procedure's textual detail (Codex 9), the Critic's questions (Codex 10).

03.2 The separation

03.2.1 Two different jobs

The Executive Office runs the institution. The Stewardship Office guards it. Running means choosing among options doctrine permits; guarding means holding the boundary of what doctrine permits.

03.2.2 What follows from the separation

  1. 1The Executive Office cannot amend doctrine.
  2. 2The Stewardship Office does not manage operations, allocate budgets, set targets, or direct staff.
  3. 3Neither office may hold both roles in one person. Where the institution is too small to staff both, the Stewardship function is held by a named person outside the operating line and recorded as such.
  4. 4Silence from the Stewardship Office is not assent for matters in §03.5.2; assent is written or it does not exist.

03.3 DIV-06 Executive Office

Status. reserved as a system; the function exists.

03.3.1 Mandate

Set priorities, allocate capital and people, own institutional targets, decide between permitted options, and account for results.

03.3.2 Decides

Division priorities and sequencing; hiring, capacity, and compensation; pricing within Chapter 15 doctrine; client acceptance within concentration limits; partnerships within agreed reporting scope; which proposals proceed to build; the materiality threshold for client concentration; the reserve target above its floor.

03.3.3 May not decide

Anything in §03.5.2. In particular: lowering the reserve floor, changing what a credential attests, widening member-data use, exempting a surface from Codex 6, or granting a doctrine exception.

03.3.4 Obligations

An annual written account of targets against results, including failures (Chapter 16). A record of each material decision, its reasoning, and its alternatives. Publication of the capacity ceilings each division is operating under (§02).

03.4 DIV-07 Stewardship Office

Status. built as doctrine — the Codices, the decision records, and the amendment log exist. Reporting surfaces are reserved.

03.4.1 Mandate

Hold the Codices, record amendments, and review anything touching mission, member trust, data use, credential integrity, or reserves. Its instruments are a written veto and the amendment record.

03.4.2 Powers

  1. 1Veto, in writing, with stated reasoning, any proposal within §03.5.2.
  2. 2Require the Codex 10 examination before considering a major proposal.
  3. 3Require a decision record for any change to specification.
  4. 4Read any audit record and require an access review (Chapter 08, Chapter 16).
  5. 5Refuse a public claim that lacks documented evidence.

03.4.3 Non-powers

It does not initiate products, direct engineers, set targets, allocate capital, or override an operating decision that doctrine permits — even when it would decide differently.

03.4.4 Obligations

Every veto is written and recorded with reasoning. Every amendment is recorded before the Codex text changes. Every review has a stated decision deadline so guarding does not become obstruction.

03.5.2 Matters requiring Stewardship review

Mission and its statement; member trust and consent; the use, retention, sharing, or export of member data; credential integrity, including standards, revocation, and verification permanence; reserves and their floor; public claims of certification, compliance, or audit outcome; any AI system that affects a person's standing; any change to Codex 0 specification or Codices 1–10.

03.5.3 Escalation

  1. 1A question with unclear ownership goes to the Executive Office to assign, unless it falls in §03.5.2, in which case it goes to Stewardship.
  2. 2A disagreement between a division and DIV-05 about a boundary is decided by the Executive Office on DIV-05's technical record.
  3. 3A disagreement about whether doctrine permits something is decided by Stewardship. That determination is final and recorded.
  4. 4Deadlock is broken by the deadline in §03.4.4 and recorded as a decision, never left open.

03.5.4 No exceptions doctrine

There is no mechanism for a doctrine exception. A rule that cannot be followed is amended in the open, with a record, or it is followed. This is deliberate: exceptions are the ordinary way institutions lose their principles.

03.6 The amendment record

03.6.1 Form

Every amendment is a dated record in ../DECISIONS/ stating: what changes, the clauses it amends, the reasoning, what it supersedes, the Codex 10 examination, the Codex 8 evaluation, and any Stewardship assent required.

03.6.2 Order

The record is written first; the Codex text is edited second. A Codex edited without a record is reverted.

03.6.3 Permanence

Records are never deleted or rewritten. A superseded record is marked superseded with a pointer forward. The record series is the institution's memory and the mechanism of §03.8.

03.7 Conflict of interest

  1. 1A person who benefits from a decision does not decide it, and the recusal is recorded.
  2. 2Institutional equity in an organization is disclosed on any advice, research, or curriculum touching it (§02.12).
  3. 3Sponsored work may shape questions, never conclusions.
  4. 4Standard-setting and issuance authority are never held by the same person for the same credential (§08).

03.8 Succession

03.8.1 Principle

The institution's continuity rests on the written record and named successors, not on individuals. Any office holder's departure must be survivable without interpretation.

03.8.2 Requirements

  1. 1Each office names a successor and an interim holder, recorded and reviewed annually.
  2. 2Every office holds its authority in trust and hands over a written statement of open matters.
  3. 3No credential, key, boundary, or record is accessible only to one person (§08, §17).
  4. 4A holder's authority ends when the record says it ends, not when they stop acting.
  5. 5Founders receive no permanent authority beyond that of the offices they hold.

03.9 Interfaces

DIV-06 reads API-10 Reporting and DASH-09. DIV-07 reads API-10, API-11 Audit, and DASH-08. Both consume the Registry (Appendix 99) at proposal time. Neither office holds data of its own.

03.10 Invariants

  1. 1Running and guarding are never the same authority.
  2. 2Every veto, assent, and amendment exists in writing or does not exist.
  3. 3Nobody decides a matter they benefit from.
  4. 4Standard-setting is separated from issuance.
  5. 5Every office has a named successor at all times.

03.11 Prohibitions

  1. 1Doctrine exceptions in any form, including "temporary" ones (§03.5.4).
  2. 2Retroactive amendment; amendments take effect forward and say so.
  3. 3Stewardship directing operations, or the Executive Office amending doctrine.
  4. 4Unrecorded decisions on matters in §03.5.2.
  5. 5Permanent, person-specific authority not attached to an office.

03.12 Open questions

  1. 1Composition. Whether each office is one person or a body, and how members are appointed and removed, is undecided and blocks §03.8.2(1) from being fully operable.
  2. 2External review. Whether the Stewardship Office includes a member from outside the institution is open.
  3. 3Legal vesting. Which legal entity holds the Codices and enforces stewardship (§01.11.1).
  4. 4Review deadlines. The specific decision deadlines required by §03.4.4 are not yet set.

03.13 Governing Codices

Codex 1 (Articles VI, VIII), Codex 2 (offices), Codex 9 (governance and amendment), Codex 10 (the Critic), Codex 8 (reserves).
